These Terms of Use ("Terms") govern your access to and use of the websites, applications, and services (collectively, the "Services") provided by RoadOpp ("RoadOpp," "we," "us," or "our"). RoadOpp operates a medical transportation and logistics platform that connects hospitals, laboratories, dispatchers, and couriers to coordinate the secure pickup, transport, and delivery of medical specimens and related items.
By accessing or using the Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Services.
1. Eligibility and Accounts
You must be at least 18 years old and able to form a binding contract to use the Services. When you create an account, you agree to provide accurate, current, and complete information and to keep it updated. You are responsible for safeguarding your login credentials and for all activity that occurs under your account. Notify us promptly of any unauthorized use.
2. The Services
RoadOpp provides a platform that facilitates coordination, scheduling, tracking, and confirmation of deliveries between participating hospitals, laboratories, dispatchers, and couriers. RoadOpp is a technology and logistics coordination provider; depending on the arrangement, deliveries may be carried out by independent couriers or partners. We do not provide medical advice or diagnostic services.
3. User Responsibilities
- Comply with all applicable laws, regulations, and professional standards, including those governing the handling, packaging, labeling, and transport of medical specimens and hazardous materials.
- Ensure that items submitted for transport are properly prepared, packaged, and documented.
- Provide accurate pickup, drop-off, scheduling, and contact information.
- Maintain any licenses, certifications, insurance, and authorizations required for your role on the platform.
- Use the Services only for lawful, authorized purposes.
4. Prohibited Conduct
You agree not to:
- Use the Services to transport unlawful, prohibited, or improperly documented items.
- Interfere with, disrupt, or attempt to gain unauthorized access to the Services, accounts, or systems.
- Reverse engineer, copy, or create derivative works from the Services except as permitted by law.
- Misrepresent your identity, affiliation, or qualifications.
- Upload malicious code or use the Services in a way that could damage, disable, or impair them.
5. Compliance and Protected Health Information
Where the Services involve Protected Health Information (PHI), RoadOpp may act as a Business Associate under HIPAA pursuant to a Business Associate Agreement (BAA) with the applicable Covered Entity. Users who are Covered Entities or their representatives are responsible for ensuring they have the necessary authority and agreements in place to use the Services with PHI. Our handling of personal information is described in our Privacy Policy.
6. Payments and Fees
Fees for the Services, where applicable, will be described at the time of purchase or in a separate agreement. You agree to pay all applicable fees and taxes. Payments are processed through third-party payment providers, and you authorize us and our providers to charge the payment method on file. Except as required by law or expressly stated, fees are non-refundable.
7. Intellectual Property
The Services, including all software, content, trademarks, logos, and design elements, are owned by RoadOpp or its licensors and are protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Services for their intended purpose. You may not use our trademarks without our prior written permission.
8. Third-Party Services
The Services may integrate with or link to third-party services, such as mapping, payment, and authentication providers. We are not responsible for the content, policies, or practices of third-party services, and your use of them is governed by their own terms.
9. Disclaimers
The Services are provided "as is" and "as available" without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or secure, or that any delivery will be completed within a specific time.
10. Limitation of Liability
To the maximum extent permitted by law, RoadOpp and its officers, employees, and partners will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, or goodwill, arising out of or related to your use of the Services. Our aggregate liability for any claim relating to the Services will not exceed the greater of the amounts you paid to us in the twelve months preceding the claim or one hundred U.S. dollars (US$100).
11. Indemnification
You agree to indemnify and hold harmless RoadOpp and its affiliates from any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or related to your use of the Services, your violation of these Terms, or your violation of any law or the rights of a third party.
12. Termination
We may suspend or terminate your access to the Services at any time, with or without notice, if we believe you have violated these Terms or to protect the Services or other users. You may stop using the Services at any time. Provisions that by their nature should survive termination will survive.
13. Governing Law
These Terms are governed by the laws of the State of Texas, United States, without regard to its conflict-of-laws principles. You agree to the exclusive jurisdiction of the state and federal courts located in Houston, Texas for any dispute arising out of or relating to these Terms or the Services, except where prohibited by applicable law.
14. Changes to These Terms
We may update these Terms from time to time. When we do, we will revise the "Last updated" date above and, where appropriate, provide additional notice. Your continued use of the Services after changes take effect constitutes acceptance of the updated Terms.
